Welcome to SoutPro! These Terms and Conditions ("Terms") govern your use of our online accounting services at https://soutpro.com. By registering and using our services, you agree to these Terms. If you do not agree, please do not use our services.
1. Acceptance of Terms
By checking the box during registration, you confirm that you are at least 18 years old and agree to these Terms, which form a binding contract between you and SoutPro. We may update these Terms periodically, and continued use of our services constitutes acceptance of the changes.
2. Services Provided
SoutPro provides online accounting services for exchange and gold service providers, including bookkeeping, transaction tracking, and financial reporting. Services are delivered on a subscription basis and continue until you or we terminate the agreement.
3. User Responsibilities
- You must provide accurate and complete information for the proper performance of our services.
- You are responsible for maintaining the confidentiality of your account credentials and notifying us immediately of any unauthorized access.
- You agree not to misuse our services, including submitting false data or engaging in unlawful activities.
4. Payment Terms
- Fees are charged as outlined in your subscription plan, billed in advance monthly or annually.
- Payments are due upon invoice issuance via the payment method you provide. Late payments may incur a 1.5% monthly interest or the maximum rate allowed by law.
- All fees are exclusive.
- All fees are exclusive of taxes (e.g., VAT or GST), which will be added as applicable.
- No refunds are provided for prepaid subscription periods.
5. Data Protection and Privacy
- We comply with the General Data Protection Regulation (GDPR) for EU users and applicable US privacy laws. Our Privacy Policy details how we collect, use, and protect your personal data.
- You consent to the transfer of your data to countries outside the EU/EEA, including the US, where we ensure adequate protection measures.
- We use cookies to enhance your experience. You can manage cookie preferences as outlined in our Privacy Policy.
6. Intellectual Property
All content, software, and materials on our platform are owned by SoutPro or our licensors. You may not copy, modify, or distribute them without our written permission.
7. Termination
- You may cancel your account at any time via your account settings. No refunds will be issued for remaining subscription periods.
- We may terminate your account for violating these Terms, with notice where required by law.
- Upon termination, all rights to use our services cease, and you must stop using our platform.
8. Limitation of Liability
- Our services are provided "as is." We are not liable for indirect, consequential, or business losses (e.g., loss of profits or data) arising from your use of our services.
- Our liability is limited to the fees you paid us in the past 12 months, except where prohibited by law.
- We are not responsible for delays or failures due to events beyond our control (e.g., force majeure).
9. Restrictions on Sanctioned Countries
SoutPro does not provide services to individuals, entities, or residents in countries subject to sanctions or embargoes imposed by the European Union, the United States (including OFAC regulations), or other applicable international authorities. By using our services, you confirm that you are not located in, or acting on behalf of, any such sanctioned country. We reserve the right to terminate your account immediately if this condition is violated.
10. Governing Law and Dispute Resolution
- For EU users, these Terms are governed by the laws of Ireland. Disputes will be resolved in the courts of Ireland, subject to mandatory consumer protection laws in your country.
- For US and other users, these Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved in the courts of Delaware.
- You agree to attempt informal resolution with us before escalating disputes.
11. Consumer Rights (EU)
- If you are an EU consumer, you may have a 14-day right to withdraw from this agreement, starting from the day you register. To withdraw, notify us at support@soutpro.com. This right does not apply if you have used our services during this period.
- Your statutory rights under EU consumer laws remain unaffected.
12. User-Generated Content
If you upload or submit data (e.g., financial records) to our platform, you grant SoutPro a non-exclusive, worldwide, royalty-free license to use, store, and process this data solely to provide our services. You are responsible for ensuring the data you provide does not infringe on third-party rights or violate applicable laws.
13. Third-Party Services
Our platform may integrate with third-party services (e.g., payment processors). We are not responsible for the performance, accuracy, or security of these third-party services. Your use of such services is subject to their respective terms and conditions.
14. No Warranties
To the fullest extent permitted by law, SoutPro disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements.
15. Indemnification
You agree to indemnify and hold SoutPro harmless from any claims, losses, or damages (including legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
